Terms of Service

Effective Date: March 15, 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Matt Kundo Digital Marketing, doing business as GBP Poster ("MKDM," "we," "us," or "our"), governing your access to and use of the GBP Poster platform available at gbppost.com, including all associated services, features, and applications (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Service Description

GBP Poster is a software-as-a-service platform that enables users to create, manage, and publish posts to their Google Business Profile listings. The Service provides the following capabilities:

  • Connection to Google Business Profile accounts via Google OAuth authentication.
  • AI-powered generation of post summaries from user-provided blog URLs, utilizing third-party artificial intelligence services.
  • Publishing of posts to one or more Google Business Profile locations via the Google Business Profile API.
  • Post scheduling, history tracking, and multi-location management.

2. Account Registration and Eligibility

2.1 Eligibility

You must be at least eighteen (18) years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2.2 Business Requirement

The Service is designed for use by individuals or entities that own or are authorized to manage a Google Business Profile listing for a legitimate business. You represent and warrant that you have the authority to manage the Google Business Profile account(s) you connect to the Service.

2.3 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including your password and any linked authentication tokens. You agree to notify us immediately at legal@gbppost.com if you become aware of any unauthorized access to or use of your account. You are responsible for all activities that occur under your account.

2.4 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information.

3. Google Business Profile Authorization

3.1 OAuth Authorization

To use the Service, you must authorize GBP Poster to access your Google Business Profile account through Google's OAuth 2.0 authentication protocol. By completing this authorization, you grant us permission to access and manage your Google Business Profile data to the extent necessary to provide the Service, including the ability to create, edit, and publish posts on your behalf.

3.2 Scope of Access

We request only the permissions necessary to operate the Service. We do not access data beyond what is required to manage your Google Business Profile posts. The specific scopes requested during authorization are disclosed during the OAuth consent process.

3.3 Token Storage

Your Google OAuth tokens are stored in encrypted form within our database infrastructure. These tokens are used solely to authenticate API requests made on your behalf to publish and manage posts.

3.4 Revocation

You may revoke GBP Poster's access to your Google Business Profile at any time through your Google Account security settings at myaccount.google.com/permissions, or by disconnecting your account within the GBP Poster dashboard. Revoking access will prevent the Service from posting to your Google Business Profile until you re-authorize.

4. Acceptable Use

4.1 General Conduct

You agree that you will not use the Service to:

  • Post spam, misleading, deceptive, or fraudulent content to Google Business Profile.
  • Violate Google's Terms of Service, Google Business Profile policies, or any applicable third-party terms.
  • Post content that is defamatory, obscene, threatening, harassing, or otherwise objectionable.
  • Infringe upon the intellectual property rights of any third party.
  • Upload or transmit viruses, malware, or any other malicious code.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any computer systems or networks connected to the Service.
  • Use the Service in any manner that could interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure.
  • Use automated tools, bots, or scripts to access the Service, except through our published API, if any.
  • Resell, sublicense, or redistribute the Service without our prior written consent.

4.2 Google Compliance

You acknowledge and agree that your use of the Service must comply with all applicable Google policies, including but not limited to the Google Business Profile content policies and the Google API Services User Data Policy. Violation of Google's policies may result in Google suspending or terminating your Business Profile, for which we bear no responsibility.

4.3 Content Responsibility

You are solely responsible for all content posted through the Service to your Google Business Profile, including AI-generated summaries that you choose to publish. While our AI assists in generating post content, you are responsible for reviewing and approving all content before publication.

5. Payment Terms

5.1 Pricing Plans

The Service is offered through multiple subscription tiers, including a free tier with limited functionality and paid plans with additional features and capacity. Current pricing is displayed on our pricing page. All prices are quoted in United States Dollars (USD) unless otherwise stated.

5.2 Payment Processing

All payments are processed securely through Stripe, Inc. ("Stripe"). By subscribing to a paid plan, you agree to Stripe's terms of service. We do not store your credit card number, debit card number, or bank account information on our servers. All payment data is handled directly by Stripe in accordance with PCI-DSS requirements.

5.3 Billing Cycle and Auto-Renewal

Paid subscriptions are billed on a monthly recurring basis. Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. We will attempt to charge your payment method on file on each renewal date.

5.4 Cancellation

You may cancel your subscription at any time through your account dashboard. Upon cancellation, your paid features will remain active until the end of the current billing period. After the billing period ends, your account will revert to the free tier. No partial refunds are provided for unused portions of a billing period.

5.5 Failed Payments

If a payment fails, we may retry the charge and/or notify you to update your payment information. If payment remains unsuccessful after reasonable attempts, we may downgrade your account to the free tier or suspend your access to paid features.

5.6 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least thirty (30) days' notice of any price increases to existing subscribers via email. Your continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

6. Intellectual Property

6.1 Your Content

You retain all ownership rights in the content you create, upload, or publish through the Service, including blog URLs you submit and posts you publish to your Google Business Profile. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you.

6.2 Our Platform

The Service, including its design, software, code, user interface, documentation, trade names, trademarks, logos, and all other intellectual property associated with the platform, is and remains the exclusive property of Matt Kundo Digital Marketing. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

6.3 AI-Generated Content

Post summaries generated by our AI feature are produced for your use. You may use, edit, and publish AI-generated summaries as your own content. We do not claim ownership over AI-generated content that you publish to your Google Business Profile. However, we make no representations or warranties regarding the accuracy, originality, or suitability of AI-generated content.

6.4 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

7. Limitation of Liability

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MKDM, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

7.3 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

7.4 Third-Party Services

We are not liable for any actions, failures, or policies of third-party services, including Google, Stripe, or any AI service provider. Changes to Google's API, policies, or services may affect the functionality of our Service, and we are not responsible for such changes or their impact on your use of the Service.

8. Service Availability

8.1 Uptime

We strive to maintain high availability of the Service but do not guarantee any specific level of uptime or availability. The Service may be subject to interruptions due to maintenance, updates, third-party service outages, or circumstances beyond our reasonable control. No uptime service-level agreement (SLA) is provided for free-tier accounts.

8.2 Modifications

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time, with or without notice. We will use reasonable efforts to provide advance notice of significant changes that may affect your use of the Service.

9. Data Handling

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information and data. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at legal@gbppost.com or through the account settings in your dashboard. Upon termination, your right to use the Service will cease immediately, subject to any remaining paid subscription period.

10.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to cases where we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or posed a risk to the security or integrity of the Service.

10.3 Effect of Termination

Upon termination, your right to access and use the Service will cease. We may delete your account data in accordance with our data retention practices described in our Privacy Policy. Sections of these Terms that by their nature should survive termination shall remain in effect, including but not limited to Sections 6 (Intellectual Property), 7 (Limitation of Liability), 12 (Governing Law), and 13 (Dispute Resolution).

11. Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice within the Service. The "Effective Date" at the top of these Terms indicates when they were last revised. Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, United States of America, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Louisiana, and you consent to the personal jurisdiction of such courts.

13. Dispute Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at legal@gbppost.com. We will attempt to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within that period, either party may proceed with formal legal action in accordance with Section 12.

14. Indemnification

You agree to indemnify, defend, and hold harmless MKDM, its owner, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any content you post or publish through the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MKDM regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or third-party service outages.
